Carnelutti joined the ITC International Model Contracts Meeting

Business lawyers from around the world and experts at the International Trade Center (ITC) met in April to finalize model contracts for trade deals that can be used free of charge by small firms in developing countries. Professor Jean-Paul Vulliety from Globalaw member firm Lalive & Partners in Geneva chaired the multi-national pro bono drafting team. Other participating members of the drafting team included Guido Molinari and Roberto Sparano, Studio Carnelutti, Rome, Italy.

 



Memorial Day for Francesco Carnelutti


CARNELUTTI has organised a memorial day for Francesco CARNELUTTI, founder of the firm, at the Accademia dei Lincei on 15 May which coincides with the anniversary of his date of birth. The day shall be  presided over by Giovanni Conso, President of the Accademia, and shall host illustrious academics and students of CARNELUTTI such as Giuliano Vassalli, Giuseppe de Luca, Franco Cipriani and Natalino Irti. Mario Pirani, who met CARNELUTTI in the years immediately after the war, will share some of his memories of this great man. 
Francesco  CARNELUTTI’s activity touched all areas of the law; he took part in some of the more famous trials which stirred up public opinion; from the trial of Bruneri/Cannella or the so-called “smemorato di Collegno” trial to those of Fenaroli and Montesi.

Carnelutti Rome in the purchase of  Cossi Costruzioni

The M&A team of CARNELUTTI in Rome, led by its partner Guido Molinari (in the photo), assisted the company, Società Italiana per Condotte d’Acqua S.p.A.,  third largest Italian company for turnover in the construction sector, with the purchase of Cossi Costruzioni S.p.A. located in Sondrio (specialised in the construction of tunnels and dams). 
The sellers were assisted by Vittorio Schena of Studio Schena of Sondrio.
The CARNELUTTI team was also made up by associates, Mirko Pezzulich, Sara Alivernini and Alessandro Righetti, while the partner, Roberto Sparano took care of the aspects relating to Antitrust issues.

CARNELUTTI AND SHEARMAN IN THE THIRD FUND OF ALCEDO

Assisted by Roberto Sparano and Guido Molinari of the Rome office of CARNELUTTI and by Michael Bosco (in the photo) and Tommaso Tosi of Shearman & Sterling for the international angles, the Private Equity operator,  Alcedo, closed the third fund for a total of 178 million Euros.
One of the participants of the fund is also the European Investment fund (EIF), a fund participated by the EIB (European Investment Bank) and by the European Union which has invested 25 million Euros.
Some of the other participants are: Veneto Banca, Palladio Finanziaria, fondazione cassa di risparmio di Padova e Rovigo and il Credito Trevigliano.
The fund provides finance to the SMEs (small and medium-sized enterprises) in Northern Italy.

Carnelutti Rome in the concession of the Asm Terni company branch to Umbria Energy

The M&A team of CARNELUTTI Rome, coordinated by the partner Guido Molinari, assisted ASM Terni Spa and Umbria Energy Spa (la joint Venture constituted between ASM Terni and AceaElectrabel Elettricità Spa), with the operation relating to the concession of the ASM Terni company branch for the “special protection” market, to Umbria Energy.
The CARNELUTTI team was also made up of the partners, Francesco Buonanno for the regulatory aspects and Roberto Sparano for the Antitrust, senior associate, Mirko Pezzulich for the tax issues as well as  associates Sara Alivernini and Alessandro Righetti.
AceaElectrabel was assisted by the Legal Affairs office of Acea Spa led by Renato Conti.
